Terms of Service

These Terms of Service ("Terms") govern your access to and use of AgentReady^TM ("we," "us," "our"), operated at agentready.us. By using AgentReady^TM, you agree to these Terms. If you don't agree, don't use the service.

1. What AgentReady^TM Does

AgentReady^TM is a platform that measures how ready your business is for AI agents — whether ChatGPT, Claude, Gemini, Perplexity, and similar systems can discover, understand, and recommend your business. We provide:

• Free scans that produce an AI Agent Readiness Index (AARI) score and top recommendations.
• Paid Insight Reports ($99 one-time) with deeper analysis, industry benchmarks, and an action plan.
• Implementation packages ($199 DIY / $499 DFY each; optional Agentic Commerce Add-on at $299 flat) containing files, templates, and guides.
• Monitoring subscriptions ($99/mo Pro, $399/mo Enterprise) for ongoing tracking of your AARI score and related signals.

2. Account Registration

To run scans or purchase paid offerings, you'll register with an email address and password. You're responsible for:

• Keeping your credentials secure and not sharing them.
• Providing accurate information.
• All activity that occurs under your account.

You must be at least 18 years old, or the age of majority where you live, to create an account.

3. Scans and Reports

Our free tier includes one scan per registered account. To go deeper on the same business, the $99 Insight Report runs a richer crawl and produces the full ROI analysis and 30/60/90 day plan. Scan results reflect our analysis at the time of scan — search results, AI-model responses, and business signals change over time, so re-scanning produces different results. We don't guarantee any specific score, ranking, or outcome.

4. Implementation Packages (DIY and DFY)

DIY packages ($199)

DIY packages are downloadable ZIP archives containing templates, guides, and configuration files customized with your business information. You (or your developer) install them. DIY purchases are non-refundable once downloaded, per our Refund Policy.

DFY packages ($499 each; $299 flat for the Agentic Commerce Add-on)

DFY means "Done-For-You." Our team installs the package on your behalf once you provide the credentials needed (e.g., website admin login, Google Business Profile manager access). DFY work is scheduled within 5-7 business days of credential intake. Credentials are deleted from our systems within 14 days of delivery.

You authorize us to make the specific changes listed in the package scope — and nothing else. You retain ownership of your website, profiles, and content.

5. Monitoring Subscriptions

Pro Monitoring ($99/mo, 1 business) and Enterprise Monitoring ($399/mo, up to 5 businesses) are recurring monthly subscriptions. You'll be billed monthly until cancellation. You can cancel anytime through your account dashboard; cancellation takes effect at the end of the current billing period. 6. Acceptable Use

You agree NOT to:

• Scan businesses you don't own or operate without their consent (we assume you have authority when you enter a URL).
• Use AgentReady^TM to scrape, resell, or redistribute our scoring data or deliverables without our written permission.
• Share, pirate, or redistribute package ZIP contents — every package is watermarked with your business name, email, order ID, and purchase date.
• Use AgentReady^TM to engage in spam, deceptive review practices, or platform ToS violations (we don't post fake reviews, buy citations, or claim credentials that aren't real).
• Reverse-engineer, decompile, or attempt to extract the underlying algorithms.
• Interfere with or disrupt the service, including via automated scraping, denial-of-service attempts, or scanning at abusive rates.

7. Third-Party Platforms

AgentReady^TM interacts with third-party services — Google Business Profile, Apple Business Connect, Bing Places, Meta Business, Healthgrades, Zocdoc, Yelp, Angi, ChatGPT, Claude, Gemini, Perplexity, Stripe, SendGrid, and others. These platforms are owned by their respective operators; their availability, terms, and behavior are outside our control. We do our best to comply with each platform's rules, but we're not responsible for third-party outages, ToS changes, or account-level issues on those platforms.

8. Intellectual Property

What we own: the AgentReady^TM name, logo, scoring methodology, AARI index, software, website, and templated deliverables are owned by us.

What you own: your business information, credentials, website content, review content, and anything you create or publish based on our deliverables.

Package license: when you purchase a package, you receive a perpetual, non-exclusive, non-transferable license to use the deliverables for your own business only. You may not resell, sublicense, or redistribute the package contents.

9. Disclaimer of Warranties

AgentReady^TM is provided "as is." We don't warrant that:

• Your score will improve by any specific amount, or at all.
• AI models (ChatGPT, Gemini, etc.) will cite or recommend you after you implement our packages.
• The service will be error-free, uninterrupted, or perfectly accurate at all times.
• Third-party platforms will behave consistently with our recommendations.

Our AARI score is a modeled estimate based on signals our system can observe; it's not a guarantee of business outcomes. AI visibility is influenced by many factors we don't control (service quality, review ratings, time in business, competitive density, platform algorithm changes).

10. Limitation of Liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to AgentReady^TM is limited to the amount you paid us in the 12 months preceding the claim. We're not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost customers, or reputational harm — even if we've been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of: (a) your use of AgentReady^TM; (b) your violation of these Terms; (c) your violation of third-party rights (including platform ToS violations); or (d) any content or information you submit to us.

12. Termination

You may stop using AgentReady^TM or close your account at any time. We may suspend or terminate your access if you violate these Terms, abuse the service, or for any other reason with reasonable notice. Upon termination:

• Scans and reports you've already generated remain accessible until your account is deleted.
• Active monthly subscriptions continue through the end of the current billing period.
• Downloaded packages remain yours to keep and use.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced via email to registered users at least 30 days before taking effect. Continued use of AgentReady^TM after changes take effect constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-laws principles. Any dispute arising out of these Terms shall be resolved in the state or federal courts located in Illinois, and you consent to personal jurisdiction there.
